  • Purge Window: Following the thirty (30) day window, the Company has no obligation to maintain, restore, store, export, or recover any files, websites, or data assets. Automated system backups are purged on a scheduled 35-day cycle.

32. FEEDBACK AND SUGGESTIONS

You grant the Company an absolute, perpetual, irrevocable, royalty-free, transferable license to use, implement, modify, commercialize, and incorporate into its products any feedback, feature requests, or suggestions provided by you, without obligation of payment, attribution, or accounting.

33. CONFIDENTIALITY

"Confidential Information" means all non-public information disclosed by one party ("Disclosing Party") to the other party ("Receiving Party") designated as confidential or reasonably understood as confidential. The Receiving Party agrees to protect Confidential Information using reasonable care and shall not disclose it to third parties, except to employees, contractors, trade partners, and legal/financial advisors who need access and are bound by confidentiality duties. Confidential Information excludes information that becomes public without breach, was previously known, or is required to be disclosed by law or court order.

34. PUBLICITY AND PORTFOLIO RIGHTS

Unless explicitly prohibited in an executed Non-Disclosure Agreement (NDA), the Company reserves the right to identify you as a client, display your business logo, showcase public website designs, and feature general work outcomes across the Company’s sales materials, marketing channels, website portfolio, case studies, and presentations. The Company will never publish confidential credentials or internal financial figures.

35. CLIENT CONTENT AND THIRD-PARTY CLAIMS

  • Legal Responsibility: You assume sole legal and financial responsibility for all content, text, data, claims, prices, graphics, disclaimers, certifications, trademarked assets, and regulatory representations provided by you for publication or marketing.
  • Indemnification Trigger: The Company assumes no liability for legal, regulatory, advertising, trademark, or consumer disputes arising from inaccurate, misleading, unauthorized, or unlawful content supplied by you or published at your instruction.

36. ACCOUNT ACCESS AND CREDENTIALS

To enable service execution, you may be required to supply access credentials, API keys, or administrative access for third-party tools, domains, hosting, social media profiles, ad portals, and CRMs. You represent that providing such access does not violate third-party agreements. The Company is not responsible for campaign delays or project holds resulting from invalid, expired, or revoked access credentials.

37. PORTAL AND ACCOUNT ADMINISTRATION

If granted administrative control over software dashboards or CRM portals, you assume sole legal responsibility for:

  • Managing user invitations, role permissions, and access levels for your staff;
  • Promptly revoking access when employees or contractors leave your organization;
  • All actions, errors, omissions, or data extractions executed under your administrative account;
  • Enforcing multi-factor authentication (MFA) and prohibiting credential-sharing;
  • Ensuring data extractions performed by authorized users comply with applicable privacy regulations.

38. SUSPENSION OF SERVICES

The Company maintains the absolute right to immediately suspend, interrupt, restrict, or disable active Services, hosting, platform access, marketing campaigns, technical support, and deliverable handoffs, without liability, under any of the following circumstances:

  • Abusive, profane, threatening, or unlawful behavior directed toward Company personnel;
  • Requesting work that is illegal, fraudulent, deceptive, or exposes the Company to liability under Michigan or federal law;
  • Security threats or malware risks detected within your account or website infrastructure.

Suspension of Services does not relieve you of the obligation to pay accrued fees, subscription balances, or contractual amounts.

39. TERMINATION

  • Termination for Cause: The Company reserves the right to terminate any project, order, or account relationship immediately upon written notice if you fail to pay fees, breach these Terms, exhibit abusive conduct, request deceptive work, file chargebacks, or create unacceptable legal or operational risk.
  • Effect of Termination: Upon termination: (a) all unpaid fees, balances, and charges become immediately due; (b) your legal right to access Services, software platforms, hosted sites, and CRM tools immediately terminates; (c) the Company may disable hosting and revoke credentials; and (d) termination grants no right to any full or partial refund.

You shall not settle any claim without the prior written consent of the Company.

43. INDEPENDENT CONTRACTOR RELATIONSHIP

The legal relationship between New World Web Solutions Holdings LLC and you is strictly that of an independent contractor. Nothing contained in these Terms or in any service execution shall be construed to create a partnership, joint venture, franchise, legal agency, employment relationship, or fiduciary relationship between the parties. Neither party has the legal authority to bind, commit, execute contracts for, or incur obligations on behalf of the other party without prior express written authorization.

44. NON-EXCLUSIVITY

Unless explicitly agreed otherwise in a signed written exclusivity agreement executed by an executive manager of the Company, the Services are non-exclusive. New World Web Solutions Holdings LLC maintains the unrestricted right to provide digital services, software, advertising, and consulting to any other business, individual, or entity, including direct competitors operating within your geographical market or industry.

In the event of a breach of this section, you agree to pay the Company an administrative liquidated damages fee equal to one hundred percent (100%) of the solicited individual's annual compensation or contract earnings, which the parties agree represents a reasonable pre-estimate of recruitment and operational replacement damages under Michigan law.

46. ELECTRONIC TRANSACTIONS, SIGNATURES, AND E-SIGN COMPLIANCE

You consent to conduct business electronically under the Michigan Uniform Electronic Transactions Act (MCL 450.831 et seq.). You explicitly agree that:

  • Assent via Site Use or Action: Accessing the site, checking an "I Agree" box, submitting payments, completing online invoices, or utilizing user portals operates as your complete electronic signature and legal acceptance of this Agreement under state and federal law.
  • Enforceability: Online portal checkouts, click-through buttons, digital orders, and email confirmations carry the full legal weight and binding effect of traditional handwritten wet signatures under the Electronic Signatures in Global and National Commerce Act (E-SIGN) and Michigan law. You waive any rights to insist upon non-electronic documentation to the maximum extent permitted by law.

50. SEVERABILITY

If any provision of these Terms is determined by a court of competent jurisdiction or arbitrator to be invalid, illegal, or unenforceable under Michigan law, such determination shall not affect any other provision of these Terms. The invalid provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the original legal intent, and all remaining provisions shall continue in full force and effect.

51. NO WAIVER

The failure or delay of New World Web Solutions Holdings LLC to enforce strict performance of any provision of these Terms or to exercise any contractual right or remedy shall not be construed as a waiver of its right to assert or rely upon any such provision, right, or remedy in that or any other instance.

52. THIRD-PARTY BENEFICIARIES

Except as explicitly set forth herein regarding indemnified parties under Section 42 (Officers, Members, Directors, Employees, Affiliates, Trade Partners, Agents), these Terms are executed solely for the benefit of the contracting parties (You and New World Web Solutions Holdings LLC). • Governing Law: This Agreement, the website, the Services, and any dispute, legal claim, or cause of action arising out of or relating to your use of the website or business relationship with the Company shall be governed by, construed, and enforced strictly in accordance with the laws of the State of Michigan, without giving effect to any conflict of laws principles that would cause the application of the laws of any other jurisdiction.
  • Good-Faith Informal Resolution: Prior to initiating any formal legal proceeding or arbitration, the parties agree to make a good-faith effort to resolve the dispute informally. You must send a written "Notice of Dispute" detailing the issue, requested relief, and contract references to legal@newworldwebsolutions.com. The parties agree to negotiate in good faith for at least thirty (30) business days before initiating legal action.
  • Binding Individual Arbitration Option / Jurisdiction & Venue: If an informal resolution is not reached, any controversy, legal claim, or dispute arising out of or relating to this Agreement shall, at the Company's sole discretion, either be submitted to binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, or litigated exclusively in the state courts located in Wayne County, Michigan or the United States District Court for the Eastern District of Michigan. You hereby expressly consent and submit to personal jurisdiction and venue within such Michigan courts, waiving all defenses of forum non-conveniens, lack of personal jurisdiction, or improper venue.
  • CLASS ACTION WAIVER: YOU AGREE THAT ALL DISPUTES MUST BE RESOLVED ON AN INDIVIDUAL BASIS. YOU EXPRESSLY WAIVE ANY RIGHT TO COMMENCE, JOIN, CONSOLIDATE, OR PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR REPRESENTATIVE PROCEEDING AGAINST NEW WORLD WEB SOLUTIONS HOLDINGS LLC OR ITS AFFILIATES IN MICHIGAN OR ANY OTHER JURISDICTION.
